Premier American Uranium completes acquisition of Nuclear Fuels

Premier American Uranium Inc. has finalized its acquisition of Nuclear Fuels Inc., as announced on September 16, 2025. The transaction, which was previously disclosed, involves Premier American Uranium acquiring all outstanding shares of Nuclear Fuels. This move results in Nuclear Fuels becoming a wholly owned subsidiary of Premier American Uranium.

Under the terms of the arrangement, shareholders of Nuclear Fuels received 0.33 common shares of Premier American Uranium for each share they held. In total, Premier American Uranium issued over 32 million shares as part of this agreement.

Colin Healey, CEO of Premier American Uranium, said that the acquisition enhances their exploration portfolio in the United States, particularly with projects like Kaycee and Cyclone in Wyoming. "With the completion of the Nuclear Fuels transaction, Premier American Uranium expands and enhances one of the strongest exploration portfolios in the United States," Healey said.

The company plans to delist Nuclear Fuels' shares from the Canadian Securities Exchange and apply to cease being a reporting issuer under Canadian securities laws.

The board of directors at Premier American Uranium now includes seven members with two new additions from Nuclear Fuels: Gregory Huffman and Brahm Spilfogel. Colin Healey also joins as CEO. Departing members Daniel Nauth and Michael Henrichsen have resigned following the arrangement's closure.
